Launch of the Ros Agro PLC Depositary Receipt Conversion Project
MAGENTA Legal announces the launch of a dedicated project for the conversion of depositary receipts of Ros Agro PLC into ordinary shares of the Russian issuer, Rusagro Group.
This project is intended for holders of Ros Agro PLC depositary receipts who are considering the localization of their holdings in Russia and wish to assess the practical options, documentary requirements, timing and risks of the conversion procedure.
The statutory deadline for the conversion is 31 December 2026. However, according to the currently available procedure, applications to the registrar should be submitted by 30 November 2026. In practice, we strongly recommend starting the process significantly earlier.
Why early action matters
Although the formal deadline may seem distant, depositary receipt conversion projects are rarely a purely mechanical process.
Based on our experience with similar DR / GDR conversion and Russian securities localization projects, the most time-consuming part is usually not the filing itself, but the preparation and verification of the supporting documents. Investors may need to reconstruct the custody chain, obtain confirmations from brokers or foreign intermediaries, prepare powers of attorney, arrange legalization or apostille, notarized translations and other supporting evidence.
Any missing document, inconsistency in the custody chain or formal defect may lead to delays, additional requests from the registrar or, in some cases, refusal to process the application.

About the registrar
The registrar for the project is STATUS JSC, one of the established Russian registrars with significant experience in maintaining shareholder registers and handling corporate actions for major Russian issuers.
For a conversion project of this type, the role of the registrar is central: the registrar reviews the application package, checks the documents confirming the investor’s entitlement and performs the relevant entries in the Russian register if the application is accepted.
This makes the quality of the filing package especially important. Even where the investor’s economic ownership is clear, the registrar will usually assess the documents from a formal and evidentiary perspective. The application must therefore be prepared with attention to detail.
First batch of applications
MAGENTA Legal is currently collecting applications for the first batch of the Ros Agro PLC DR conversion project.
The cut-off date for joining the first batch is: 15 June 2026.
After this date, the procedure is expected to become more urgent. As the statutory and registrar deadlines approach, document collection, review, courier logistics, notarization, apostille and translation work may become more time-sensitive.
